Partner Agreement
Last updated: October 2026
This Agreement governs your relationship with MistriConnect as a service Partner. It applies alongside, and takes precedence over, the general Terms & Conditions for any Partner-specific matter. By submitting a partner application, and again by keeping your MistriSP account active, you accept this Agreement.
1. The relationship
MistriConnect operates a marketplace that connects your business ("Partner", "you") with customers seeking car care services. You are an independent business — a separate legal entity or sole proprietor with your own commercial registration — not an employee, agent, franchisee, or joint venturer of MistriConnect. You control how, when (within accepted bookings), and with which staff and equipment you deliver the service. Nothing in this Agreement creates an employment, agency, or partnership relationship in the legal sense.
2. Onboarding and verification
Before you can accept live bookings, you must complete MistriConnect's onboarding checklist, currently:
- Trade licence (commercial registration) copy submitted and verified.
- Staff CPR (ID card) copies submitted for every technician who will perform services.
- Vehicle registration and Traffic Directorate inspection documentation submitted for each service vehicle.
- A valid insurance certificate submitted (see Section 7).
- A quality-assessment wash completed and passed.
- MistriSP portal training completed.
MistriConnect may request updated documents at any time (for example, on licence renewal) and may suspend your ability to accept bookings if documents lapse or verification fails.
3. Services and standards
- You agree to perform accepted bookings to the standard described in your service listing, using trained staff and properly maintained equipment.
- You must accept, reschedule, or decline bookings promptly through the MistriSP app, and honour bookings you accept.
- You are responsible for your staff's conduct, appearance, and professionalism while performing MistriConnect bookings.
- MistriConnect reviews customer quality complaints (reported within 24 hours, with photos where possible) case by case — see the customer Terms & Conditions. Where a complaint is upheld against your business, you are responsible for performing any agreed free re-wash; MistriConnect will not charge you an additional commission on the re-wash itself.
3A. Live job updates, checklist and photos
- For every booking you must use the MistriSP app (or portal) to record the job truthfully and in real time: mark it started when work actually begins and completed only when the service is finished, tick each checklist item only when it has been done, and add before and after photos of the vehicle.
- Customers, MistriConnect, and (for company plans) the Corporate Client see these updates live. Recording false, back-dated, or misleading updates or photos is a material breach of this Agreement and may lead to withheld payouts, recovery of amounts paid, and suspension or termination.
- Photos must show only the vehicle and its immediate surroundings. Do not photograph people's faces, the inside of homes, or documents, and do not use any photo for any purpose other than the booking. You grant MistriConnect a perpetual, royalty-free licence to store and use job photos and records to operate the Platform, resolve complaints, claims and disputes, and for quality assurance.
- MistriConnect may use time stamps, checklist records, photos and location information from the app as evidence in deciding complaints, damage claims, missed washes, and payout disputes. Where you have not recorded a job properly, MistriConnect may decide the matter in the customer's favour.
3B. Company (fleet) jobs
- Some bookings are company-covered washes for Drivers of a Corporate Client. These are performed at the Corporate Client's approved locations, to the same standards as any other booking.
- Company-covered washes are paid out on the fleet rate MistriConnect agrees for that Corporate Client (shown in your MistriSP portal for the job), less MistriConnect's commission, rather than the public package price. MistriConnect's payout obligation for a company-covered wash does not depend on the Corporate Client paying MistriConnect.
- You must not offer, sell or arrange services directly to a Corporate Client or its Drivers introduced through MistriConnect, or discuss pricing, contract terms or MistriConnect's arrangements with them. Refer all such enquiries to MistriConnect. Section 10 (Non-circumvention) applies to Corporate Clients and their Drivers.
- You must follow any site rules the Corporate Client has given MistriConnect for its locations (for example, access times, safety and parking rules), as communicated to you through the Platform.
4. Commission and fees
MistriConnect charges a commission on each completed booking, calculated as a percentage of the booking value. The commission rate that applies to your account is shown in your MistriSP dashboard (currently defaulting to 20% for new Partners, unless a different rate has been agreed with you in writing). MistriConnect may change the default commission rate for future bookings with at least 30 days' notice through the Platform; a rate already agreed with you individually will not be changed without your consent.
5. Payouts
- Payouts are calculated as the total value of your completed, non-disputed bookings for the payout cycle, less MistriConnect's commission and any approved deductions (for example, an upheld damage claim).
- Payouts are processed on MistriConnect's standard payout cycle (currently weekly) to the bank details you provide, and are subject to normal bank processing times.
- You can view a full, itemised breakdown of every payout — bookings included, commission deducted, and net amount — in your MistriSP portal at any time.
- If you believe a payout is incorrect, notify us within 30 days of the payout date; claims raised later may not be adjustable.
6. Cancellations and no-shows
If you cancel an accepted booking without a valid reason, or fail to attend (a "Partner no-show"), MistriConnect may, at its discretion, reschedule the booking (with you or another Partner) or credit the affected customer's wallet. Since bookings are paid in full at the time of booking (see the customer Terms & Conditions), this is a wallet credit, not a reversal of the original card charge.
- Automatic reporting. A booking that has not been started in the app within the period MistriConnect sets after its time slot ends (currently 60 minutes) is automatically reported as missed. You, the customer and MistriConnect are notified. If the job did in fact take place, you must tell MistriConnect immediately with time-stamped photos. Jobs not recorded in the app are treated as not performed.
- Consequences. No payout is due for a missed booking. MistriConnect may deduct from your payouts, or otherwise recover from you, its reasonable costs caused by a Partner no-show or a cancellation without valid reason, including any wallet credit given to the customer and any extra cost of rebooking with another Partner.
- Missed bookings caused by the customer (for example, the vehicle was not at the address, or access was refused) are not Partner no-shows if you record them through the app at the time with photos and inform MistriConnect.
- Repeated cancellations or no-shows may result in reduced dispatch priority, a formal warning, or suspension under Section 11.
7. Equipment, licensing and insurance
- You must maintain a valid commercial registration and any sector-specific licences required under Bahrain law for the duration of your partnership.
- You must maintain adequate liability insurance covering damage to customer property that may occur during your services, and provide proof of coverage on request.
- You are responsible for the safety, maintenance, and legal compliance of your own equipment and vehicles.
8. Damage claims and liability
If a customer reports damage within 24 hours with photos, MistriConnect will investigate and may request your account of events and your insurance details. Where a claim is upheld against your business, you are responsible for the resolution (repair cost, replacement, or an agreed settlement) through your insurance or directly, and MistriConnect may withhold the disputed amount from a pending payout until the claim is resolved. You agree to indemnify MistriConnect against claims arising from your acts, omissions, or negligence in performing a booking.
9. Data protection obligations
To protect customers' privacy, MistriConnect shows you only a shortened form of the customer's name and a masked phone number, together with the service address, map pin, vehicle details and booking notes. You must contact customers only through the in-app chat and must not try to obtain or work out a customer's full name, phone number or other contact details, or ask for them, or give customers your own personal contact details for arranging future services. When MistriConnect shares customer data with you to perform a booking, you must: use that data only to perform the booking; not contact the customer for purposes unrelated to the booking without their consent; not retain or reuse customer data after the booking is complete except as needed for warranty/re-wash follow-up or as required by law; and handle it securely. This mirrors MistriConnect's own obligations to customers under Bahrain's PDPL, described in our Privacy Policy.
10. Non-circumvention
For customers, Corporate Clients and Drivers introduced to you through MistriConnect, you agree not to solicit them, directly or through anyone else, to book or pay outside the Platform for the same or substantially similar services, for as long as your MistriSP account is active and for 12 months after termination. This protects the integrity of the marketplace for all Partners and customers. If you breach this Section, MistriConnect may, in addition to any other remedy, recover from you the commission it would have earned on the services provided outside the Platform, and may terminate this Agreement immediately.
11. Term, suspension and termination
- This Agreement takes effect when your application is approved and continues while your MistriSP account is active.
- MistriConnect may suspend your account immediately where there is a safety concern, suspected fraud, repeated customer complaints, lapsed licensing/insurance, or a material breach of this Agreement; suspension revokes access to new bookings and active sessions.
- Either party may terminate this Agreement for convenience with 30 days' written notice (email is sufficient). MistriConnect may terminate immediately for a material breach that is not cured within 7 days of notice.
- On termination, outstanding payouts for completed bookings will still be processed on the normal payout cycle, less any amounts properly withheld under Section 8.
12. Confidentiality
Each party agrees to keep the other's non-public business information (including commission terms, platform mechanics, and customer data) confidential, and to use it only to perform this Agreement.
13. Dispute resolution and governing law
Both parties will first attempt to resolve any dispute directly through support@mistriconnect.com. This Agreement is governed by the laws of the Kingdom of Bahrain, and unresolved disputes are subject to the exclusive jurisdiction of the competent courts of the Kingdom of Bahrain.
14. Changes to this agreement
MistriConnect may update this Agreement from time to time. Material changes (for example, to commission or payout terms) will be notified through the MistriSP portal with reasonable notice before they take effect; continuing to accept bookings after that date constitutes acceptance.
15. Entire agreement
This Agreement, together with MistriConnect's Terms & Conditions and Privacy Policy, constitutes the entire agreement between you and MistriConnect regarding your participation as a Partner.
